Affiliate Program Agreement

The Grow Your Chiropractic Practice Affiliate Program (the “Program”) is operated by AI Security Edge LLC (the “Company,” “we,” or “us”). By joining the Program, you (the “Affiliate”) agree to the terms outlined in this Affiliate Program Agreement (the “Agreement”).

As an approved Affiliate, you will earn a 20% commission on each subscription payment a customer you refer makes during their first 12 months — paid as they pay, not a lump sum. A commission is earned only when the customer actually pays, for as long as you remain an active Affiliate in good standing.

To participate in the Program, you must:

• Be at least 18 years of age or the age of majority in your jurisdiction.
• Agree to and comply with all terms set forth in this Agreement.
• Provide accurate and complete information during the application process.
• Not be a current employee or contractor of AI Security Edge LLC.

We reserve the right to accept or reject any application at our sole discretion, for any reason. Approval of your application constitutes acceptance of this Agreement.

Upon approval, you will receive a unique referral link and referral code. All referral tracking is managed through cookies placed in the referred visitor's browser.

• Cookie Duration: Referral cookies persist for 90 days from the date the visitor first clicks your referral link.
• Attribution: If a visitor clicks your referral link and completes a purchase within the 90-day cookie window, the sale will be attributed to you. Last-click attribution applies — if a visitor clicks another Affiliate's link after yours, the most recent Affiliate will receive credit.
• Unique Referral Link: You must use only your assigned referral link. Modifying or tampering with referral links is strictly prohibited.

Affiliates earn commissions as follows:

• Commission Rate: 20% of the net recurring subscription payment amount (excluding taxes, refunds, chargebacks, and processing fees).
• Commission Period: Commissions are earned on each subscription payment during the referred customer's first 12 months, paid as they pay. Monthly plans earn 20% on each of the first 12 monthly payments; annual plans earn 20% of the one annual payment (which already covers the year), with no further recurring credit.
• Calculation Period: Commissions are calculated on a monthly basis, based on payments successfully collected during the prior calendar month.
• One-Time Fees: Setup fees, add-on purchases, or other one-time charges are not eligible for affiliate commission unless explicitly stated otherwise.

• Minimum Payout: Commissions will be paid out once your accumulated unpaid balance reaches a minimum of $50.00 USD. Balances below this threshold will roll over to the following month.
• Payment Method: All payouts are issued monthly via Stripe Connect. You are required to connect a valid bank account through Stripe to receive payouts. We do not issue payments via PayPal, check, or wire transfer.
• Payment Schedule: Eligible payouts are processed within the first 15 business days of each calendar month for commissions earned during the prior month.
• Tax Responsibility: You are solely responsible for all applicable taxes on commissions earned. We may require a W-9 or equivalent tax form for US-based Affiliates earning above applicable IRS thresholds.
• Refunds & Chargebacks: If a referred customer receives a refund or initiates a chargeback, the corresponding commission will be deducted from your balance or future payouts.

As an Affiliate, you agree not to engage in any of the following activities:

• Spam: Sending unsolicited bulk emails, messages, or communications of any kind to promote your referral link.
• Misleading Claims: Making false, misleading, or exaggerated claims about the Company, its products, services, pricing, or results.
• Brand Term Bidding: Running paid advertising (PPC, display, social) that bids on or targets the brand names “Grow Your Chiropractic Practice,” “AI Security Edge,” or any variations, misspellings, or related trademarks.
• Self-Referrals: Using your own referral link to purchase products or services for yourself, your business, or any entity you own or control.
• Cookie Stuffing: Using any technique, software, or method to artificially place referral cookies without genuine user interaction (e.g., iframes, pop-unders, forced redirects, browser extensions).
• Incentivized Clicks: Offering monetary incentives, rewards, or other consideration in exchange for clicking your referral link.
• Impersonation: Representing yourself as an employee, representative, or agent of the Company.

Violation of any prohibited activity may result in immediate termination, forfeiture of unpaid commissions, and potential legal action.

The Company may provide approved marketing materials, including but not limited to banners, logos, copy templates, and landing page content (collectively, “Marketing Materials”).

• You may use Marketing Materials solely for the purpose of promoting the Program.
• You may not modify, alter, or create derivative works from any brand assets, logos, or Marketing Materials without prior written consent.
• All trademarks, service marks, trade names, and logos of the Company remain the exclusive property of AI Security Edge LLC.
• This Agreement does not grant you any ownership interest in any Company intellectual property.

• Voluntary Termination: Either party may terminate this Agreement at any time, for any reason, by providing written notice (email is sufficient).
• Payout on Termination: Upon termination, any unpaid commissions that meet the minimum payout threshold ($50.00 USD) will be paid out in the next regular payment cycle. Balances below the minimum threshold will be forfeited.
• Termination for Cause: If the Company determines, at its sole discretion, that you have engaged in fraud, abuse, or violation of any term of this Agreement, your account will be immediately terminated and all unpaid commissions will be forfeited.
• Post-Termination: Upon termination, you must immediately cease all use of Marketing Materials, remove all referral links, and stop representing yourself as an Affiliate of the Company.

The Company reserves the right to modify, update, or amend any terms of this Agreement at any time. If material changes are made, we will provide at least 30 days' prior written notice via the email address associated with your Affiliate account.

Your continued participation in the Program after the effective date of any modifications constitutes acceptance of the updated terms. If you do not agree with the changes, you must terminate your participation before the changes take effect.

THE PROGRAM IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. THE COMPANY MAKES NO WARRANTIES, EXPRESS OR IMPLIED, REGARDING THE PROGRAM, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

IN NO EVENT SHALL FAST DIGITAL MARKETING LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR PARTICIPATION IN THE PROGRAM, REGARDLESS OF THE THEORY OF LIABILITY.

THE COMPANY'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF THIS AGREEMENT SHALL NOT EXCEED THE TOTAL COMMISSIONS PAID TO YOU IN THE SIX (6) MONTHS PRECEDING THE CLAIM.

You are an independent contractor and nothing in this Agreement creates an employer-employee, partnership, joint venture, or agency relationship between you and the Company.

You are solely responsible for your own taxes, insurance, and compliance with all applicable laws and regulations. You are not entitled to any employee benefits, including but not limited to health insurance, retirement benefits, workers' compensation, or unemployment insurance from the Company.

During your participation in the Program, you may have access to confidential information, including but not limited to:

• Commission rates, structures, and payout data.
• Internal conversion metrics, pricing strategies, and business data.
• Customer information and referral data.
• Marketing strategies, product roadmaps, and unreleased features.

You agree to keep all such information strictly confidential and not to disclose it to any third party without the Company's prior written consent. This obligation survives termination of this Agreement.

This Agreement shall be governed by and construed in accordance with the laws of the State of Florida, United States of America, without regard to its conflict of law provisions.

Any disputes arising out of or relating to this Agreement shall first be attempted to be resolved through good-faith negotiation between the parties. If the dispute cannot be resolved within thirty (30) days, it shall be submitted to binding arbitration in the State of Florida, in accordance with the rules of the American Arbitration Association.

Each party shall bear its own costs and attorney's fees in connection with any dispute, unless the arbitrator determines otherwise.

This Agreement constitutes the entire agreement between you and AI Security Edge LLC with respect to the subject matter hereof and supersedes all prior or contemporaneous communications, proposals, and agreements, whether oral or written.

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
